1. Scope
These General Terms and Conditions of Agile Edge GmbH apply to all services and products offered by Agile Edge GmbH. With each order, these conditions are considered accepted.

The buyer's general terms and conditions of purchase are hereby contradicted. Deviations from these terms and conditions are only effective if Agile Edge GmbH agrees to their validity in writing.

2. Prices and conclusion of contract
Our offers are aimed at commercial customers and include value added tax (VAT) in Swiss francs. Price and product changes as well as printing errors are reserved. Promotional prices are only valid during the respective promotion period.
The offers of Agile Edge GmbH in price lists, advertisements, website or other media are subject to change and non-binding. Orders are only binding for Agile Edge GmbH after written confirmation.
The contract is concluded as soon as the customer places his order via the online shop or e-mail. The customer receives an order confirmation after receipt of the order. The order confirmation confirms that the order placed with Agile Edge GmbH and that the contract has been concluded.
Orders are binding and the customer is obliged to accept the service. Subsequent changes at the customer's request are exceptionally possible and at Agile Edge GmbH's discretion.
If delivery is impossible, the contract will be immediately and automatically terminated. The customer will be informed immediately. The customer is released from his obligation to pay. As a result of such a contract termination, Agile Edge GmbH is not obliged to provide a replacement delivery or compensation.

3. Terms of Payment
If the customer is in arrears with his payment obligations in whole or in part, Agile Edge GmbH is entitled at any time during the period of arrears to withdraw from the contract, to demand the return of delivered goods and to claim damages for the lapse of the contract. In the case of an order with advance payment, Agile Edge GmbH can automatically and without further notice terminate all affected contracts after ten calendar days without receipt of payment.
A fee of CHF 10.00 can be charged from the 2nd reminder and CHF 25.00 from the 3rd reminder.

4. Terms of Delivery and Costs
Agile Edge GmbH may restrict the delivery area for individual product groups. Such restrictions will be communicated to the customer in advance.
Agile Edge GmbH delivers from stock and attaches great importance to adhering to the agreed delivery times. However, due to supplier or shipping company bottlenecks, delivery delays may still occur. The information regarding delivery times is not guaranteed and can change at any time without notice. If there are delays in delivery, the customer will be informed immediately by e-mail

If the logistics company sends the shipped goods back to Agile Edge GmbH because delivery to the customer was not possible, the customer bears the costs for the unsuccessful shipment.
Received products must be checked immediately for correctness, completeness and integrity. Any defects must be reported to Agile Edge GmbH immediately after detection, but no later than 6 calendar days after receipt of the shipment
There is no right to exchange or return.

5. Warranty
The statutory warranty period applies, whereby Agile Edge GmbH has the choice of providing the warranty through repair, replacement, conversion or reduction.

6. Liability
Claims for damages against Agile Edge GmbH are excluded to the extent permitted by law. This also applies to liability for indirect damage and consequential damage resulting from use are excluded.

7. Payment
Agile Edge GmbH offers its business customers purchase on account with a payment term of 20 days. When purchasing on account, the invoiced amount must be transferred to the Agile Edge GmbH account specified on the invoice by the due date specified on the invoice at the latest.
We retain ownership of the products until the invoice amount has been paid in full.

8. Privacy Policy
With the acceptance of the terms and conditions, our data protection declaration is automatically accepted.

9. Jurisdiction
Swiss law applies. The place of jurisdiction is the registered office of Agile Edge GmbH.
